Abstract: Large-Scale Infrastructural: Project and Corporate Law. – The article explores the role of the corporate form in large-scale infrastructural projects, emphasizing its functionality for both governance and financing. It highlights how limited liability serves as a cornerstone in structuring project finance, ensuring risk segregation and investor protection. The study delves into the significance of special-purpose vehicles (SPVs) in infrastructure development, illustrating their role in mitigating exposure to potential liabilities and securing funding. Additionally, it focuses on the contribution of the corporate form in the perspective of both providing a regulatory framework for the governance of the initiative and financial tools – including project bonds – for its funding. The essay underscores the adaptability of corporate law in addressing the complex challenges of megaprojects and its crucial function in ensuring their economic and legal feasibility.
