L’actio pro socio nelle società di persone italiane e nell’esperienza comparativa
Abstract: The Actio Pro Socio within Italian partnership law and in comparative experience – Taking inspiration from the recent German reform of partnership law MoPeG, which has implemented into the BGB the jurisprudential origin institute of “actio pro socio”, the essay discusses, in its first part, the main features of the institution in European comparative law (France, Austria, Belgium, United Kingdom, Spain, Netherlands and Switzerland) and in United States as well. Thereafter, moving on to Italian law, attention is paid to the sole example of (a specific) “actio pro socio” netted in the article 2259.3 civil code, reading it in the light of case law and the issue of the action for social liability against managing partners claimed individually by a single partner. In the final part, the only example of “action pro socio” within Italian corporate law, namely Article 2476.3, civil code, is discussed, concluding with a proposal for the reform of Italian partnership law in line with other European legal systems regarding “actio pro socio” and for the modernisation of the rules relating to the action for liability against managing partners.
