Abstract: The article deals with the interactions between company law and bankruptcy law in the light of the relevant provisions recently introduced into the Italian legal system by the Codice della crisi d’impresa e dell’insolvenza. In particular, the focus is on two areas: the crisis in company law and companies in the law of bankruptcy. As for the first, the new criteria for quantifying the indemnifiable damage in the context of liability actions against directors are examined. As for the second, once acknowledged the lack of attention of the bankruptcy legislator for the problems arising from companies’ insolvencies, the position of shareholders is reconstructed, proposing their inclusion in the category of “affected parties”, involved in the approval of the plan of restructuring.
