Abstract: Reading the interesting book of Claudia Confortini, the paper enters into dialogue with the author and consequently its essay. The work, in this perspective, investigates – according to study’s subject matters – the problems of risk management in the sale of shareholdings. The analysis offers the cue for reflections either on the method of comparison, useful for reconsidering traditional categories (especially, the legal warranties provided for by the civil code); either on the causa “in concreto”. The focus of the discussions holds also the informative asymmetry of the contracting parties and the instruments they devise in order to efficiently govern the risk of contingencies.
