Abstract: The essay examines the relationship between minimum positive net worth of non-profit institutions, provided for by art. 22 of the Italian Code of the Third Sector, and minimum nominal capital of companies. The objective pursued is to fix the consequences of the reduction for losses exceeding the third of the minimum positive net worth, distinguishing between legal consequences and the obligations of the management aiming at the reconstitution of assets, transformation, merger or dissolution of the entity.
