Abstract: The paper aims to analyze the phenomenology and the problems of intragroup transactions and relationships in the light of the regulation of contractual instruments for the resolution of group enterprises’ crisis. The new “Codice della crisi” (Legislative Decree no. 14/2019) allows, under certain conditions, a transfer of resources from one company to another and, therefore, a departure from the principles of independent asset management and of separation of financial responsibilities, in the context of the group rescue plan. Nevertheless, it is necessary to define the limits of legitimacy of such transfer operations in relation to the interest of the company concerned by the transfer of resources to another entity of the group, to the purpose of the contracts and to the specific objectives of the group reorganization plan, also revising, from this perspective, the “compensatory advantages” doctrine.
