Connessioni e interferenze con il diritto societario. --- (*) Il lavoro è destinato al Liber Amicorum Paolo Pollice. --- Abstract: A recent judgment given by a trial court on the appointment of directors of banking foundations determines the need to rethink the issue concerning the rules applicable to private-law entities, whose instrument of incorporation is directly the law and not an act of private autonomy. Starting from the consideration of the incompleteness of the rules laid down in the Civil Code, book I, the Author wonders whether or not it is possible, and within what limits, to derive from company law the remedies to protect the interests of the entities or people involved in these appointment procedures.
