Abstract: The algorithmic liability of directors – The essay aims to investigate the opportunities and critical issues arising from the adoption of algorithms in corporate governance. In particular, it will be necessary to consider whether there is a duty on the part of directors to avail themselves of the aid of algorithmic systems, and to what extent a director who objects to having relied on algorithmic decision-making, interpreting the processing provided by the machine as being more in accordance with the corporate interest, is exempt from liability.
